By accessing or using the services of Nowlings, Inc. ("we," "us," "our," or "Nowlings"), including our website at www.nowlings.co, coaching services, workshops, community circles, and any other offerings, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.
2. Organization Information
Nowlings, Inc. is a nonprofit organization with 501(c)(3) tax-exempt status pending with the IRS. We provide leadership development services for educators, including coaching, workshops, and learning communities. Our EIN is 39-4175696.
3. Use of Services

If registering on behalf of an organization, you must have authority to bind that organization
Acceptable Use
You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

Professional Development Context
Our services provide professional development and are not a substitute for:

Medical advice

Crisis intervention

Your Content
By sharing ideas, feedback, or materials during our services, you:

Agree that insights shared in group settings may be discussed by other participants
Educational Fair Use
We support educators' fair use of materials for classroom purposes. Please contact us for permission to adapt materials for educational use.
5. Coaching Services
Nature of Coaching

Coaching is a professional development service focused on leadership growth

Coaches do not provide therapy, counseling, or medical advice

The coaching relationship is a partnership; results depend on your engagement
Coach-Client Relationship

Confidentiality provisions are outlined in separate coaching agreements

You are responsible for your decisions and actions

Coaches may terminate relationships that become inappropriate or unproductive
Group Coaching & Circles

Participants must respect confidentiality of all group members

What is shared in the circle stays in the circle

We reserve the right to remove disruptive participants
6. Workshops & Events
Registration

Registration is confirmed upon payment

Spaces are limited and offered first-come, first-served

We reserve the right to cancel or reschedule with notice
Participation

Active participation is encouraged but not required

Recordings may be made for those unable to attend (with notice)

Disruptive behavior may result in removal without refund
Materials

Workshop materials are for participant use only

Sharing login credentials for virtual events is prohibited

Materials may not be reproduced for commercial purposes
7. Payment Terms
Fees

All fees are listed in USD

Payment is due upon registration unless otherwise arranged

Sliding scale options available based on need
Donation Acknowledgments
Important: As our 501(c)(3) status is pending, donations may not be tax-deductible. We will notify you when our status is determined. Consult your tax advisor regarding deductibility.

8. Privacy and Confidentiality
Your Privacy
Your use of our services is subject to our Privacy Policy, which is incorporated into these Terms.

Our services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee specific outcomes from our services.
Limitation of Liability
To the fullest extent permitted by law, Nowlings, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use our services.
Professional Development
Our services support professional growth but do not guarantee:

Any particular outcome
10. Indemnification
You agree to defend, indemnify, and hold harmless Nowlings, Inc., its officers, directors, employees, and volunteers from any claims, damages, or expenses arising from:

11. Dispute Resolution
Informal Resolution
We prefer to resolve disputes informally. Please contact us directly with concerns before pursuing formal action.

These Terms are governed by the laws of the State of Texas, without regard to conflict of law provisions.
Venue
Any legal action must be brought in the courts of Tarrant County, Texas.

14. Special Terms for Educators
Continuing Education
While we provide high-quality professional development, participants are responsible for verifying whether our programs qualify for continuing education credits in their jurisdiction.
School District Partnerships
Special terms may apply to services contracted by school districts. These will be outlined in separate agreements.
Mandated Reporting
Our coaches and facilitators may be mandated reporters. We will comply with all legal requirements regarding suspected abuse or neglect.

16. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified Terms.

21. Pro Bono and Sliding Scale Services
We offer reduced-fee and pro bono services based on need. These services:

Some services may be funded through grants. Participants in grant-funded programs may need to:
